1. Agreement & Trademark Notice

This End User License Agreement (“Agreement”) is a legally binding agreement between you (“Licensee”) and NexModulo Lab Inc. (“Company,” “we,” or “us”). The "Modunizer" name, logo, and associated software are the trademarks™ and intellectual property of NexModulo Lab Inc. By purchasing, downloading, or acquiring the digital files, STL files, and Modunizer™ Application (collectively, the "Files") directly from NexModulo Lab Inc. or an officially authorized platform, you agree to be bound by this Agreement.

2. Ownership

All Files, designs, geometries, connection systems, dimensions, documentation, branding elements, and associated intellectual property rights are and remain the exclusive property of NexModulo Lab Inc.

Modunizer™ is a proprietary system.

Nothing in this Agreement transfers ownership of any intellectual property to the Licensee.

3. Grant of License & Authorized Use

This license is valid only if the Licensee have lawfully acquired the Files directly from NexModulo Lab Inc. or our officially authorized channels (such as our official crowdfunding campaigns or direct web store). If you obtained these Files from an unauthorized third party, a file-sharing site, or an unapproved reseller, this license is void and you have no right to use, print, or sell the designs.

Subject to compliance with this Agreement, NexModulo Lab Inc. grants the Licensee a worldwide, non-exclusive, non-transferable, royalty-free, perpetual commercial license to:

• 3D Print & Sell: Use 3D printing (additive manufacturing) to produce physical objects from the Files and sell those physical objects for profit.

• Unlimited Quantity: Produce and sell an unlimited number of physical prints.

• Royalty-Free: NexModulo Lab Inc. will never ask for a royalty, percentage, or revenue share from your physical sales. You owe us nothing per item sold.

Vendor Authentication: To preserve the intellectual property rights and market integrity of the Modunizer™ ecosystem, the Licensor shall issue a unique Authorized Vendor Identification Number to each Commercial Licensee. The Licensee is strictly obligated to prominently display this Vendor ID within the primary product description of any digital storefront or e-commerce listing (including, but not limited to, Etsy, Shopify, Amazon, and eBay), as well as at any physical point of sale. Failure to publicly display a valid and active Vendor ID constitutes a material breach of this Agreement and reserves the Licensor’s right to execute immediate license revocation and issue intellectual property takedown notices (e.g., DMCA) to the respective hosting platforms without prior warning.

Single-Brand Identity & Cross-Platform Permissibility: The commercial license granted herein is exclusively bound to a single, unified commercial brand or retail identity. The Licensee is expressly permitted to operate this single authorized entity across multiple sales platforms (e.g., maintaining the identical storefront identity simultaneously on Shopify, Etsy, and a physical retail booth), provided the identical Authorized Vendor ID is consistently and prominently displayed across all respective channels. However, the Authorized Vendor ID may not be fractionalized, syndicated, or utilized to supply multiple distinct store names, subsidiary brands, or functionally separate retail operations under the Licensee's control. Should the Licensee wish to market or distribute Modunizer™ physical products under a different storefront name or distinct secondary brand, an independent commercial license and corresponding Vendor ID must be procured for each respective entity. 

4. Restrictions

This license applies only to physical objects produced via 3D printing. The Licensee strictly may NOT:

•  Share, distribute, sublicense, resell, or transfer the Files, STL files, or the Modunizer™ Application in any digital format or physical media (including but not limited to USB drives, hard drives, or cloud storage links) to any other person or entity.

•  Extract & Reverse Engineer: Extract the STL files from the Application to share them, or decompile/reverse engineer the Modunizer™ Application.

•  Claim IP: Claim ownership of the original Modunizer™ designs, systems, or represent themselves as the creator or official source of the Modunizer™ system.

•  Mass Manufacture: Produce the designs via injection molding, casting, CNC machining, or any method other than 3D printing without a separate Enterprise License from the Company.

The Modunizer™ application, if provided, may contain or generate licensed STL files. The application and its contents are part of the licensed product and may not be copied, redistributed, shared, reverse engineered, or made available to any other person or entity.

Distribution of the application in any form constitutes unauthorized distribution of the Files and is strictly prohibited.

Modified versions of the original Files remain derivative works and remain the property of NexModulo Lab Inc.

The Licensee is expressly prohibited from utilizing the Modunizer™ trademark, NexModulo Lab Inc. branding, or associated proprietary trade dress in any manner that falsely implies a first-party affiliation, direct partnership, or subsidiary relationship with the Licensor. The Licensee must operate and explicitly identify their entity as an independent "Authorized Third-Party Vendor" of the 3D printed physical goods. Any deceptive branding, marketing, or operational practices designed to obscure the Licensee’s third-party status are strictly forbidden and serve as grounds for immediate termination of this License. 

5. Custom Accessories & Compatibility

Licensees may design independent accessories compatible with the Modunizer™ system. However, compatibility does not grant ownership over the Modunizer™ system. No licensee may claim exclusivity over system interfaces or imply an official partnership with NexModulo Lab Inc. without written authorization.

Designing a compatible part does not restrict NexModulo Lab Inc. from developing similar or improved official components.

NexModulo Lab Inc retains the unrestricted right to modify, expand, improve, or redesign the Modunizer™ system including, but not limited to , the development of any compatible modules, accessories, or extensions, at any time without restriction.

6. No Open-Source Grant

Modunizer™ is a proprietary system and is not open source. All intellectual property rights not expressly granted are reserved by NexModulo Lab Inc.

7. App Distribution & Compatibility

The Modunizer™ application, if provided, is supplied "as-is" as a supplementary tool. The Company makes no guarantee of compatibility across all hardware or operating systems. Distribution of the application in any form constitutes unauthorized distribution of the Files and is strictly prohibited.

8. No Warranty & Limitation of Liability

The Modunizer ecosystem is supplied strictly "as-is," functioning exclusively as digital architectural blueprints. The physical execution of these files, including printer calibration, filament/material selection, and environmental deployment, is managed entirely by the end user. NexModulo Lab Inc. makes no warranties regarding the fitness of these files for any particular physical purpose.

• Physical Deployment: NexModulo Lab assumes no liability for hardware malfunctions, printer damage, material failures, or physical damages arising from the manufacturing, post-processing, or daily use of these components. To the maximum extent permitted by law, our total liability shall never exceed the original purchase price of the digital assets.

• Operational Responsibility: The user assumes absolute responsibility for the final printed product, including structural integrity, material toxicity, and compliance with local safety regulations.

• Third-Party Claims & Indemnification: In the event of any third-party disputes, manufacturing errors, consumer claims, or legal actions (particularly concerning Authorized Commercial Vendors marketing physical goods), NexModulo Lab remains entirely separate. We do not provide mediation, legal coverage, or indemnification. The user agrees to fully indemnify and hold harmless NexModulo Lab Inc. from any claims arising from the physical use, failure, or distribution of their manufactured goods.

9. No Refund Policy

Due to the irreversible nature of digital file delivery, all sales are final. By purchasing, downloading, or accessing the Files, you acknowledge that the Licensee waive any right to a refund.

By pledging to our campaign through a crowdfunding platform, you acknowledge that the funds are a contribution toward the development and production of the project. These funds are committed to project costs and are non-refundable once the campaign has successfully concluded, regardless of whether the Files have been downloaded/accessed.

Refunds will not be issued based on disagreement with license terms, change of mind, or failure to review this Agreement prior to purchase.

10. Termination & Governing Law

If the Licensee breach any term of this Agreement, your license is automatically terminated. Upon termination, you must cease the sale of physical products and delete all digital copies.

This Agreement shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
